This Sustainability Statement (the “Statement”) reflects our structured and ongoing efforts to integrate responsible practices across the entirety of our value chain; from sustainable forest management and responsible sourcing to timber manufacturing excellence and strengthened governance oversight.
Guided by defined priorities and measurable objectives, we are committed to delivering meaningful environmental, social and economic outcomes, ensuring that our growth trajectory remains resilient, responsible and aligned with the expectations of our stakeholders.

ABOUT THIS STATEMENT

Reporting Guidelines and Principles

This Statement has been prepared in accordance with Bursa Malaysia Securities Berhad’s Listing Requirements, with reference to the Bursa Malaysia Sustainability Reporting Guide (3rd Edition). It is also aligned, where applicable, with the Global Reporting Initiative (GRI) Standards and the United Nations Sustainable Development Goals (UNSDGs).
The data presented in this Statement reflects our best efforts to capture the performance of our operations during the reporting period as accurately as possible. This Statement represents our current understanding of sustainability initiatives and performance across the Group. Moving forward, we are committed to enhancing our reporting practices in line with evolving standards and stakeholder expectations.
Reporting Scope and Basis
This Sustainability Statement outlines the sustainability-related initiatives, practices and performance of the Group for the financial period ended 30 November 2025 (FPE 2025), covering the reporting period from 1 July 2024 to 30 November 2025 (17 months), unless otherwise stated.
The scope of this Statement encompasses all subsidiaries and operational activities within Malaysia, across both upstream and downstream segments of the Group’s value chain. The reporting boundary covers the following principal business segments:
Timber Harvesting

Extraction and sale of logs, including forest management and reforestation activities.

Timber Manufacturing

Manufacture and sale of plywood, veneer, raw and laminated particle board, sawn timber, and finger joint mouldings.

Engineering

Provision of road maintenance services, dredging and marine support.

Unless otherwise specified, the information disclosed reflects operational control and is prepared based on internal management data and established reporting processes. Where relevant, performance data is presented on a consistent basis to facilitate year-on-year comparability.

This Sustainability Statement has not been subjected to internal audit review or external independent assurance. The information disclosed in this Statement has been prepared on a best-effort basis using data and information available during the reporting period. While no independent verification has been conducted, the Group remains committed to progressively strengthening the robustness, reliability and completeness of its sustainability data collection and reporting processes. Moving forward, ML aims to continuously enhance the transparency and quality of its sustainability disclosures as part of our broader commitment to responsible corporate governance and accountability.

With more than 25 years of industry experience, ML has established itself as a pioneer in sustainable timber management in Malaysia. Our operations are guided by a long-standing commitment to responsible forestry practices, balancing economic value creation with the preservation of natural ecosystems. ML manages approximately 28,051 hectares of forestland under the Sustainable Forest Management (SFM) regime, where timber harvesting activities are conducted using Reduced Impact Logging (RIL) techniques. These practices are designed to minimise ecological disturbance, protect biodiversity, and maintain the long-term productivity of forest resources
Complementing our upstream forestry operations, ML’s downstream manufacturing facilities are equipped with advanced, state-of-the-art machinery capable of producing high-quality plywood and timber products that meet stringent international standards. Our products comply with globally recognised certifications and regulatory requirements, including the Japanese Agricultural Standards (JAS), California Air Resources Board Phase 2 (CARB P2), and the United States Environmental Protection Agency (EPA) standards. In addition, our operations are aligned with the Sabah Timber Legality Assurance System (TLAS) Type 6 product certification, recognised under the Programme for the Endorsement of Forest Certification (PEFC) framework.

Our governance and operational structures support the integration of environmental, economic, social, and governance (EESG) considerations into strategic planning, risk management, and daily operations. Through a structured framework, ML systematically identifies, evaluates, and manages material sustainability matters, enabling the Group to monitor performance, assess emerging risks and opportunities, and implement initiatives that support responsible and sustainable growth.

ML has established a governance structure that integrates sustainability considerations into the Group’s strategic direction and operational decision-making processes. This structure provides clear oversight, accountability, and coordination across all levels of the organisation to ensure that sustainability objectives are effectively implemented and monitored.

The Board of Directors holds ultimate responsibility for overseeing the Group’s sustainability agenda, ensuring that sustainability considerations are integrated into ML’s long-term strategy and business operations. Supporting the Board is the Group Sustainability Committee (“GSC”), chaired by Executive Director Mr Yin Kong Fung. The GSC plays a key role in overseeing sustainability-related initiatives, providing guidance on ESG matters, and ensuring that sustainability remains aligned with the Group’s strategic priorities.

Group Sustainability Committee (GSC)

The GSC is responsible for driving the development and implementation of ML’s sustainability strategy. The committee comprises members of senior management representing various operational divisions across the Group, including the plymill, sawmill, harvesting, forest replanting, nursery, marine services, road maintenance, and dredging services units. This cross-functional representation enables the committee to effectively evaluate sustainability priorities and ensure that initiatives are aligned with operational realities across the Group. The GSC reviews and endorses sustainability objectives, monitors progress against targets, and identifies emerging sustainability-related risks and opportunities. Through this structure, the committee ensures that ML’s sustainability commitments remain both strategic and actionable across the organisation.

Operational Sustainability Teams (“OST”) 

OST comprise personnel from various operating units and are responsible for implementing sustainability initiatives within their respective functions. These teams play a critical role in translating the Group’s sustainability objectives into operational practices by monitoring performance, tracking progress, and reporting outcomes at the operational level. This decentralised approach enables ML to embed sustainability considerations directly into day-to-day activities and decision-making processes across the organisation. By empowering operational teams to drive sustainability initiatives, ML fosters a culture of shared responsibility and continuous improvement in environmental and social performance.

ML adopts a structured materiality assessment process to identify and prioritise the environmental, economic, social, and governance (“EESG”) matters that are most significant to our business and stakeholders. Material topics are defined as issues that have the greatest potential impact on ML’s operations, long-term value creation, and the economy, environment, and communities within our value chain. By identifying and prioritising these matters, we are better positioned to manage sustainability-related risks and opportunities while aligning our business strategy with stakeholder expectations. Our materiality assessment process takes into account the evolving business landscape, regulatory developments, industry trends, and feedback from both internal and external stakeholders. Our Approach:

ML conducts stakeholder engagement through various channels including structured interviews, surveys, focus group discussions, and community consultations. For example, engagement sessions with forestry authorities and local community representatives provide valuable insights into environmental and socio-economic concerns related to our forestry operations.
